- At my law firm, Barry F. Gartenberg, L.L.C., I offer legal services to new and established businesses and their owners, executives, and managers. I serve clients throughout New Jersey, as well as out-of-state clients in need of counsel and representation in New Jersey. Because I have owned a business myself, I understand the many issues that business owners face. As an entrepreneur having been involved in a number of ventures, I am also aware of the challenges of start-up and newly established organizations. My services include...
Litigation Services. I provide advice and representation in prosecuting and defending civil lawsuits, including partnership disputes, breach of contract actions, debt collection matters, and restrictive covenant/non-compete agreement violations.
Buying, Selling and Expanding a Business. I provide advice and representation in transactional and expansion matters, including: reviewing, evaluating, negotiating, and preparing primary transaction agreements (e.g., stock purchase and sale agreements, asset sale and purchase agreements, merger agreements, consolidation agreements, (etc.); and reviewing, evaluating, negotiating, and preparing ancillary transaction agreements, instruments, and documents (e.g., security agreements, stock pledge agreements, deeds, leases, employment and consulting agreements, non-competition agreements, confidentiality agreements, assignments, bills of sale, promissory notes, letters of intent, corporate authorizations, etc.).
Financing, leasing, and commercial lending. I provide advice and representation in capital procurement, including: reviewing, evaluating, negotiating, and preparing venture capital agreements; delineating scope of due diligence; and reviewing, evaluating, negotiating, and preparing stock subscription agreements.
Establishing governance and planning for succession. I provide advice and representation in business governance and succession issues, including: defining the role, power, and duty of owners, directors, officers, managers, and key personnel in the decision-making process; structuring oversight and verification controls; delineating and managing the liability of directors, officers, and managers; allocating and distributing profits and losses; planning for succession, including business continuation by family members or key employees; addressing contingencies for life-cycle and major events (death, disability, divorce, etc.) affecting owners and key personnel; establishing procedures to oust or admit owners, members, and partners; and facilitating expansion of the business through asset acquisition and debt and equity financing.
Starting a Business or Professional Practice. I provide advice and representation in: selecting the appropriate business structure, including corporations, general partnerships, limited liability partnerships, and limited partnerships and limited liability companies; selecting, using and protecting a business or practice name; and preparing/filing documents necessary to establish and maintain a business entity you select, including formation documents (e.g., certificates of incorporation, statements of qualification, certificates of formation, etc.), organizational minutes/consents, bylaws, annual reports, minutes/consents of shareholder, director, member or manager meetings, election of officers, directors and managers, and stock/interest issuance.

Yes, Virginia. You can be thrown out of your own company!
On December 24, 2012, the Appellate Division of the NJ Superior Court issued an opinion concerning the question of when a member (i.e., owner) of an LLC can be expelled from the company. Members of LLCs may, by way of having and operating agreement, fashion their own rules and standards for member expulsion.
